Law firm Veat undertook a review of laws concerning business transfer related copyright laws and violation of the Act on Fair Trade, commissioned by A Game Development Company.


A Game Development Company is currently developing a game and, in relation to this game, exclusive business rights for webtoons and novels based on its IP (intellectual property rights), seeking to transfer it to a subsidiary of A Game Development Company, thus necessitating a review of potential legal risks, including violation of copyright laws and the Act on Fair Trade.


Law firm Veat designed a contract form that A Game Development Company and its subsidiary must sign, considering that A Game Development Company and its subsidiary want to continue to hold copyright for the entire copyright of the game and the rights to the webtoon and novel created based on the game’s IP (intellectual property rights), and also provided guidance on how to transfer copyright to A Game Development Company for secondary works, which fall under the copyright law.


Furthermore, since A Game Development Company and the newly established subsidiary are both affiliates, Law firm Veat provided guidance on precautions to ensure that the contract between the affiliated A Game Development Company and its subsidiary does not constitute unfair trade practices or improper support under the Act on Fair Trade.
